Qualifications:

 

5+ years as a practicing attorney with a major law firm, securities regulatory agency or in-house law department, including 3+ years representing firms in capital markets and investment banking activities. Juris Doctorate. State Bar membership is required.

 

Ability to research, and provide counsel and guidance on, complex legal issues. Ability to analyze questions of law in substantive areas of practice, provide effective advice to clients on routine legal matters. Strong verbal and written communication skills interpersonal skills excellent organizational skills and attention to detail flexibility and adaptability to changing priorities and deadlines.

 

3+ years of securities origination legal experience is required. Candidates should have federal and state securities law expertise, and extensive experience on debt securities offerings and representing underwriters. Must be able to assume responsibility quickly and have the ability to work in a complex environment requiring a high degree of collaboration and ability to work effectively with outside counsel.

 

Plusses:

Understanding of brokered CD and commercial paper origination. \

Understanding of international issues related to securities origination transactions.

Understanding of research business and related regulation.

Understanding of broker-dealer regulation, including sales and trading
