Opportunities in the M&A Transaction Services and Special Acquisition Services Groups for partner-potential seniors, managers and/or senior managers to contribute to a growing practice by assisting in a broad range of transaction-related services, such as:
• Pre-transaction due diligence that focuses on attempting to identify potential “deal breakers”, industry and deal specific risks and opportunities
• Structuring services including analyzing the terms of transaction related agreements
• Post-transaction services such as helping clients integrate a new acquisition into existing operations, tighter and smarter cash flows and working capital management, purchase price negotiations, and potential offerings, to name a few.
The experience gained on this assignment will be invaluable for developing enhanced technical, client service, and relationship-building capabilities as well as valuable exposure to a fast pace environment with high visibility and interaction with leading M&A practitioners, National Office consulting resources, industry specialists and senior management of some of our most prestigious clients.

DEVELOPMENTAL NATURE OF THE ASSIGNMENT:
• Provide in depth exposure and further development in knowledge related to SEC reporting and accounting issues such as (FASB, EITF, SEC Rules and Regulations), specifically as it relates to key areas of focus such as: Business combinations, Recapitalizations, Stock Compensation plans, Revenue Recognition, Capitalization of software development costs, Deferral of Costs, IPR&D, Restructuring Reserves, Impact of Transaction of EPS, Treatment of Equity and quasi Equity Instruments, Beneficial conversion features, Imbedded Derivatives etc.
• Provide opportunity to further develop strong analytical skills such as an ability to identify and evaluate business, industry, financial, accounting to tax risk related to transactions
• Provide opportunity to further develop strong proficiency in decision making with the appropriate level of research and consultation
• Obtain more knowledge and high-level experience related to the application of transaction related agreements, professional, legal and regulatory literature and procedures applicable in the local market place to ensure appropriate risk management
• Experience orchestrating a multi-disciplinary team of highly talented professionals

Engineer responsible for design, engineering, equipment specifications, and technical execution of manufacturing and utility processes for the development of transgenic plant process systems used for the production of clinical materials and commercial quantities of human therapeutic proteins.

Essential Duties and Responsibilities:1. Lead and perform process design, specification, start-up and validation activities for process equipment and process utility systems in a GLP/GMP manufacturing environment. 2. Prepare technical documentation such as: Equipment and instrument specifications; FAT/SAT; Project schedules and budgets; Validation protocols; Instrument calibration/preventative maintenance plans ; Standard operating procedures in support of project activities. 3. Work proactively with other engineering functions, departments, and outside contractors to complete design and engineering projects within schedule, budget and quality restraints. 9. Develop/review Process Flow Diagrams (PFD) and Piping and Instrument Flow Diagrams (P&ID).

Qualifications: B.S. in engineering (chemical, biochemical, mechanical), or equivalent, with knowledge of biochemical and biological processing. Sr. Level requires a minimum of 10+ years of pharma/biotech experience (MS / PhD degrees may complement / supplement industry experience). Relevant GMP (regulated) industry experience in pharmaceutical and biotech processes - including process development, process engineering, upstream / downstream processing is a necessity. Good communication skills, both written and oral, and ability to work in a team environment as well as independently. Proficiency in MS Office Suite, Visio, and MS Project. AutoCAD experience a plus.

Candidate Must Have :
* High level team leadership responsibilities, including organizing, managing and directing efforts between internal project teams and consultants, engineering firms and contractors.

Reporting to the Director of Global Tax Planning, this position is responsible for managing the Company’s U.S. federal tax audit processes, including coordination with the applicable tax authority, Company finance management and other Company departments as necessary.
* Primary liaison between the Company and the Internal Revenue Service to coordinate day to day aspects of tax audits.
* Review issues raised by governmental auditors, conduct research and prepare documented response for review and approval of management prior to presentation to the tax authority.
* Coordinate with other departments in the Company to obtain and deliver all information requested by the taxing authority.
* Prepare summary of all meetings with auditors and maintains organized audit files to adequately document the audit process.
* Monitor relationship between audits and Company policies/procedures to ensure that management is apprised of changes in tax authority philosophy; recommends changes in Company policies/procedures when appropriate.
* Coordinate with Director and Manager of FAS109 Tax Accounting on proper accounting for tax audit risks and final settlement.
* Analyze and explain impact of potential and final audit adjustments to management and communicate adjustments to Director of Global Tax Process and Systems for tax return preparation.
* Support Director of Global Tax Planning with modeling and analysis of strategic tax planning.
* Support Director of Global Tax Planning on business development projects, including due diligence and contract review.
* Ensure that all responsibilities of Manager - U.S. Tax Audits and Planning are documented and executed in compliance with all applicable accounting regulations, including but not limited to compliance with the Sarbanes Oxley Act of 2002.
* Perform other analyses/administrative duties/projects as assigned.

Candidate Must Have :
* BS in accounting, business administration or related field required
* Must have 5-7 years of tax experience with at least 3 years managing in an industrial, multi-national role.
* Must have experience with federal income tax audit issues
* Must have strong analytical and PC skills (Word, Excel, PowerPoint, Organizer, tax research software, tax return preparation software, etc), outstanding verbal and written communication skills, and the ability to work on and lead teams required.
