Corporate Attorney Position
(Corporate Governance & Compliance)
We are seeking a resourceful, conscientious and diligent attorney with 3 to 5 years of general corporate experience to join its legal team. The successful candidate is a patient self-starter seeking an opportunity to learn and to develop further his/her skills as an attorney and businessperson. Problem solving and excellent communication (i.e., speaking, writing and listening) skills are essential. Leadership and integrity are well-regarded. Strong administration and organization skills are appreciated.
You will support the Sr. Corporate Counsel and Assistant Secretary with his day-to-day responsibilities in the areas of corporate governance and compliance.
Initially, day-to-day responsibilities will include, among other matters:
Assist development, implementation and administration of corporate policies and procedures (e.g., board and committee charters, securities compliance procedures, duties of directors and officers, corporate & compliance training, internal controls).
Prepare, manage and administer corporate records for the Company and its subsidiaries (e.g., annual meetings and reports, director and officer resolutions, qualifications to do business, trade name registrations).
Assist development, implementation and administration of compliance program (e.g., quarterly and annual audit of corporate books and records, corporate policies and procedures, and commercial agreements).
Work with team members within the legal department and in other departments (e.g., finance, real estate, merchandising and marketing) to develop practical solutions to business and legal issues.
Serve as a business and legal resource for team members from other departments (i.e., interpreting agreements, answering questions about corporate structure, directors and officers, etc.)
